These Terms of Service (“Terms”) outline your rights and responsibilities when accessing and using Paradiso’s products, websites, and services (collectively, the “Services”). By selecting ‘I Agree,’ creating an account, or visiting any website managed by Paradiso Software Pvt Ltd or its affiliated companies—including Paradiso.ai, ParadisoLMS.net, Cognispark.ai, and ParadisoSolutions.com—you consent to abide by these Terms and our Privacy Policy. If you disagree, please refrain from using the Services or browsing our websites.
IMPORTANT: THE WEBSITE AND SERVICES ARE EXCLUSIVELY FOR BUSINESS AND ORGANIZATIONAL USE (B2B). THEY ARE NOT INTENDED FOR PERSONAL CONSUMER USE.
**Parties and Products, Modules & Product-Specific Terms**
**Products Overview (Illustrative):**
– **Paradiso Authoring Tool**: A cloud-based tool for creating and publishing e-learning content.
– **Paradiso LMS**: A learning management system for hosting, delivering, and tracking courses.
– **Paradiso Course Catalog/Marketplace**: A curated marketplace and catalog of third-party courses.
– **Paradiso AI Assistants**: AI-driven features that interact with users, answer queries, provide recommendations, and assist with tasks.
– **AI Meeting Assistant**: An AI tool that generates meeting summaries, action items, and insights from discussions.
**Eligibility & Accounts**
To use the Services, including all products and features offered by Paradiso Software Pvt Ltd and its affiliates (such as ParadisoLMS.net, Cognispark AI, Paradiso Solution, Paradiso AI, and others), you must be at least 18 years old and capable of entering into a binding contract. These Services are exclusively for business and organizational use. By using the Services, you confirm that you are acting on behalf of a business or organization, not for personal, consumer, or household purposes. If you are not a business user, you should not access or use these Services.
You are responsible for your account credentials, all activities under your account, and maintaining accurate contact and billing information. If you authorize additional users under your account (“Authorized Users”), you are responsible for ensuring their compliance with these Terms. Organizations have the ability to manage and control Authorized User accounts.
**Single Sign-On (SSO) and Related Accounts**
Creating a Paradiso account for any Service (e.g., LMS, Authoring Tool, Course Catalog, or Meeting Assistant) may grant you access to other Paradiso products and websites. By using SSO or accessing any Paradiso Service through that account, you agree that your initial acceptance of these Terms applies to all Paradiso Services unless specific additional terms are presented upon sign-in for a particular product.
**Trial/Free Tiers**
Certain Paradiso products may offer free or trial tiers with limited features, users, or duration for evaluation purposes only. These tiers can be modified, restricted, or discontinued at any time without notice. Data or content created during a free or trial period may be deleted or become inaccessible unless upgraded to a paid plan.
**Education & Regulated Use**
If you are an educational institution or handle educational records, additional terms outlined in Schedule A (Education/FERPA Addendum) will apply to your use of the Services. If you operate in regulated sectors, such as healthcare or finance, you are responsible for configuring the Services to comply with applicable laws. You may need to enter into data processing addenda or other agreements to ensure the Services meet your sector’s regulatory standards.
**Agreement**
These Terms constitute a legal agreement between Paradiso Software Pvt Ltd (“Paradiso,” “we,” “us,” or “our”) and the individual or entity agreeing to these Terms (“Customer,” “you,” or “your”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization, in which case “you” and “your” refer to the organization. **THE WEBSITE AND SERVICES ARE INTENDED SOLELY FOR BUSINESS AND ORGANIZATIONAL USE (B2B). THEY ARE NOT DESIGNED OR OFFERED FOR INDIVIDUAL CONSUMER USE.**
**Services & License**
Upon complying with these Terms and settling all applicable fees, Paradiso offers you a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services during your subscription period.
**Restrictions**
You are prohibited from, and must not allow others to:
– Copy, modify, distribute, sell, lease, or sublicense the Services.
– Reverse engineer or attempt to extract the source code, except where such restrictions are not allowed by law.
– Remove proprietary notices or trademarks.
– Use the Services to develop competing products.
– Use the Services in violation of the law, these Terms, or consent/recording rules.
**Beta / Free Features**
We may offer free, alpha, beta, or preview features (“Beta”). These Beta features are provided “AS IS,” may be altered or discontinued at any time, and could be less reliable than fully developed features.
**Ownership of Content:** You retain ownership of all your content, including text, audio, video, meeting recordings, transcripts, and files.
**License Agreement:** By using Paradiso, you grant us a worldwide, non-exclusive license to host, process, transmit, display, and utilize your content as needed to deliver and sustain our services.
**User-Generated Content (UGC):** Content created with Paradiso tools comes with a limited, revocable license for Paradiso to use AI content within UGC solely to provide services.
**Responsibility:** You are fully responsible for your content and any UGC, ensuring you obtain all necessary consents.
**AI Outputs:** AI-generated outputs may sometimes be inaccurate, incomplete, or contextually inappropriate. You are required to review, validate, and apply human judgment before relying on or using any AI output. These outputs are intended for informational use only and should not be considered legal, medical, financial, or professional advice.
**High-Risk Use:** Our AI-generated outputs are not suitable for life-critical, safety-critical, or high-risk scenarios, such as medical diagnoses or emergency responses. The AI models are not foolproof and may be inaccurate or incomplete, especially in high-stakes situations where errors could have severe consequences. Thus, you should not depend solely on these outputs for critical decisions like hiring, admissions, grading, accreditation, or compliance without independent human assessment. Human oversight is crucial to ensure decisions are informed, accurate, fair, and align with ethical and legal standards.
**Third-Party AI Providers:** We may partner with trusted third-party AI providers to offer certain features. These providers are prohibited from using your data to train their models and must adhere to strict confidentiality, security, and data-handling protocols.
**Feedback:** By providing feedback, you grant Paradiso a perpetual, royalty-free license to use it without restrictions.
Acceptable Use Policy: You must not infringe on intellectual property or the rights of others. Avoid uploading unlawful, harmful, or personal data without legal justification. Do not introduce malware or compromise security. Refrain from scraping, harvesting, or creating automated accounts without permission. Recording conversations requires consent. Sending spam or conducting abusive recordings is prohibited. Comply with export controls, sanctions, and anti-corruption laws. Paradiso may suspend or terminate services for violations or potential risks.
Third-Party Services & Trademarks: Our services may interact with platforms like Microsoft Teams, Zoom, and Google Workspace, each governed by its own terms. Paradiso holds no responsibility for these third-party services. Trademarks from third parties are owned by their respective proprietors.
Cookies & Analytics: We utilize tools like Microsoft Clarity, Google Analytics, and session tracking to enhance and oversee our Services. While some cookies are necessary, others need your approval. For more details, refer to our Cookies Policy.
Fees, Taxes & Refunds: You agree to pay all applicable fees and taxes. Except as required by law or specified in an order, fees are non-refundable. Late payments may incur interest or suspension.
Intellectual PropertyParadiso and its licensors retain full ownership of the Services, encompassing software, models, documentation, and designs. Apart from the expressly granted limited rights, no additional rights are conferred.
Confidentiality: Both parties agree to safeguard each other’s confidential information and use it solely for purposes outlined in these Terms. Exceptions include information that is public, independently developed, or lawfully acquired.
Warranty Disclaimer: To the fullest extent allowed by law, the services and all outputs are provided “as is” and “as available,” with no warranties of any kind. This includes express, implied, or statutory warranties such as implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment. We do not guarantee that the services will be uninterrupted, accurate, or free from errors.
Limitation of Liability
Liability Cap: To the fullest extent allowed by law, Paradiso and its affiliates, officers, employees, or agents will not be liable for any amount beyond the total fees you’ve paid for the Services in the 90 days before the event triggering the claim.
Exclusion of Certain Damages: Paradiso will not be responsible for any indirect, incidental, consequential, special, punitive, or exemplary damages (such as loss of profits, data, goodwill, or business interruption), even if advised of the potential for such damages, to the maximum extent permitted by law.
Legal Exclusions: These Terms do not limit liability that cannot be legally excluded, including any liability from intentional misconduct where such limitations are prohibited by law.
Exclusive Remedy: If you’re dissatisfied with the Services, your sole and exclusive remedy is to discontinue use and, where applicable, request a refund by contacting sales@paradisosolutions.com.
Basis of the Bargain: You acknowledge that these limitations are a fundamental part of the agreement between the parties and that the pricing of the Services reflects these limitations.
Indemnification
You agree to indemnify, defend, and hold harmless Paradiso, along with its affiliates, officers, directors, employees, and agents, from any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) that arise from or relate to your use of the Services. This includes, but is not limited to, claims related to:
Customer Content and Recordings
Any content, user-generated material, or other items that you or your users upload, create, transmit, record, or process through the Services. This encompasses any audio, video, chat, screen captures, or transcripts made or initiated by you or your users.
Recording Consents and Data Use
Your failure to provide proper notice to or obtain valid consent from all participants or affected parties for any recordings, monitoring, transcription, or other data processing conducted through Paradiso’s products, such as the Eva Meeting Assistant, Web Concierge, LMS, or AI tools.
Copyright or Intellectual Property Infringement
Any actual or alleged infringement, misappropriation, or violation of intellectual property or proprietary rights due to your or your users’ uploading, distributing, or making available copyrighted, trademarked, or otherwise protected materials (including within an LMS course, authoring tool, or training content) without the necessary rights, licenses, or permissions.
Breach or Violation
Your breach of these Terms, any applicable law or regulation, or any third-party rights, including privacy, publicity, or confidentiality rights.
Misuse of Services
Any unauthorized use or integration of the Services that causes harm to Paradiso, its systems, or others.
Objectionable or Unlawful Content
Any customer content or course material uploaded or distributed through the Services that is obscene, defamatory, harassing, harmful, deceptive, discriminatory, invasive of another’s rights, or otherwise objectionable or unlawful. This includes any claims that Paradiso’s hosting or availability of such content violated laws or third-party rights.
Paradiso reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification. You agree to fully cooperate with Paradiso in such defense and not to settle any claim without Paradiso’s prior written consent.
Suspension & Termination: We may suspend or terminate your services if a significant breach, like non-payment, isn’t resolved within 10 days of notice. Free accounts can be suspended or terminated immediately for misuse. Once terminated, your rights to use the services cease.
Export & Sanctions: You confirm you are not restricted by export controls or sanctions and agree to comply with the U.S. FCPA, UK Bribery Act, and other relevant laws.
**Dispute Resolution & Arbitration**
**Governing Law**
These Terms, along with any disputes not subject to arbitration, are governed by the laws of India, excluding conflict-of-law principles.
**Informal Resolution**
Before initiating any legal claim, the parties commit to resolving disputes amicably by contacting legal@paradisosolutions.com and providing ninety (90) days for a resolution.
**Agreement to Arbitrate; Seat & Rules**
Any dispute arising from these Terms or related to the Services will be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. Arbitration will adhere to the rules of the Mumbai Centre for International Arbitration (MCIA) or, if unspecified, proceed as an ad hoc arbitration. Mumbai is selected as the seat for its esteemed standing in commercial arbitration, bolstered by the Government of Maharashtra’s Institutional Arbitration Policy (GR dated 13 October 2016) and official recognition of MCIA (Circular dated 28 February 2017). MCIA’s awards are enforceable in over 160 countries under the 1958 New York Convention.
**Procedure**
The arbitration will be conducted in English by a sole arbitrator mutually agreed upon by the parties. If no agreement is reached within fourteen (14) days, the appointing authority under the chosen rules (or the Act) will appoint the arbitrator. The tribunal may hold hearings in person or via remote means, including video conferencing, as appropriate.
**Costs**
The party initiating arbitration is responsible for advancing filing and initial arbitrator fees. In the final award, the arbitrator may assign costs, fees, and reasonable attorneys’ fees, taking into account the parties’ conduct and the outcome.
**Confidentiality; Injunctive Relief**
The arbitration process, including its existence, filings, evidence, and awards, shall remain confidential, except where disclosure is necessary to enforce or contest an award or is legally mandated. Either party may seek temporary, emergency, or injunctive relief from Mumbai courts to protect rights pending arbitration or to enforce an award.
To the maximum extent allowed by law, any dispute, claim, or controversy related to these Terms or the Services MUST BE BROUGHT INDIVIDUALLY and NOT AS A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. You WAIVE THE RIGHT TO PARTICIPATE in any class, collective, or representative action against Paradiso. This clause does not apply to consumer products and does not prevent individual claims in a court of competent jurisdiction, or as allowed by applicable law.
**Limitation Period**
Any claim must be filed within one (1) year of its accrual; otherwise, it is permanently barred, to the extent permitted by law.

You cannot assign or transfer these Terms (including by merger, change of control, or operation of law) without our prior written approval. We may assign these Terms to an affiliate or as part of a merger, acquisition, corporate restructuring, or asset sale.
Force Majeure: Neither party is responsible for delays due to events beyond reasonable control, such as internet failures, war, terrorism, natural disasters, or strikes.
These Terms, along with any signed orders or referenced addendums, form the complete agreement between you and Paradiso, replacing all previous agreements.
Custom Contracts: For substantial deals or government entities, Paradiso is open to negotiating a tailored agreement. Until such an agreement is formally signed by both parties, these Terms remain fully in effect. Any negotiated changes will only be valid if documented in a written agreement signed by both parties.
Subscription, Auto-Renewal & Cancellation: Subscriptions automatically renew for successive terms unless canceled before the current term concludes. You can cancel renewal anytime, and it will take effect at the end of the current term. Fees are non-refundable unless required by law or explicitly stated otherwise.
Usage Limits & Verification: Some features have usage limits, such as seats, API calls, and storage. We monitor usage and will notify you of any overages. If you exceed these limits, we may charge overage fees or ask you to upgrade. Additionally, we may request reasonable information to ensure compliance with your license scope.
